Schaeffler AG chiude l’IPO (Offerta Pubblica Iniziale)

Schaeffler AG ha oggi chiuso con successo la propria IPO. Nel complesso sono state collocate con gli investitori istituzionali 75 milioni di azioni senza diritto di voto. Di queste, 66 milioni derivano da un incremento di capitale di Schaeffler AG e i rimanenti 9 milioni di azioni dalla disponibilità di Schaeffler Verwaltungs GmbH. Il prezzo di collocamento delle azioni offerte in fase di IPO è stato fissato a EUR 12,50 per azione. I proventi lordi del collocamento ammontano a circa EUR 938 milioni. Il portafoglio ordini ha superato più volte le sottoscrizioni.

„Siamo molto soddisfatti, poiché siamo riusciti a completare con successo la nostra IPO in un contesto di mercato impegnativo. La forte domanda da parte degli investitori mostra come Schaeffler sia recepita come un investimento attrattivo“, ha affermato Klaus Rosenfeld, CEO di Schaeffler AG. „Con l’IPO abbiamo posto le basi per poter continuare nella proficua crescita di Schaeffler AG.“

I proventi derivanti dalle transazioni saranno utilizzati per ridurre l’indebitamento finanziario di Schaeffler AG e quindi per incrementare in maniera sostenibile la forza finanziaria del Gruppo Schaeffler. Inoltre, con questo passo, viene concluso il riallineamento della struttura legale dell’intero Gruppo.

Maria-Elisabeth Schaeffler-Thumann, Shareholder e Deputy Chairperson del Supervisory Board, ha aggiunto: “Il Gruppo Schaeffler continuerà a rimanere un’azienda di famiglia anche in futuro. Come Shareholder continuiamo ad assumerci la responsabilità per lo sviluppo del nostro Gruppo di aziende.”

Le azioni di Schaeffler AG saranno scambiate a partire dal 9 ottobre 2015 sul mercato regolamentato (Prime Standard) della Frankfurt Stock Exchange (Frankfurter Wertpapierbörse) sotto il simbolo SHA, codice di sicurezza tedesco (WKN) SHA015 e codice internazionale (ISIN) DE000SHA0159.

In connection with the listing of Schaeffler AG’s common non-voting bearer shares with preferred dividend payments with no par value (the “Placement Shares”), one of the underwriting banks (the “Stabilization Manager”) or its affiliates, will act, for its own account and the account of the other underwriting banks, as the Stabilization Manager.
